1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you and PersonaCore Ltd ("PersonaCore", "we", "us", or "our"), a company registered in England and Wales with registered office at Garden Lodge, 135 Marsland Road, Sale, M33 3NZ, United Kingdom.
By accessing or using PersonaCore, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our services.
2. DEFINITIONS
- "AI Twin" means an artificial intelligence personality model trained to emulate a Creator's communication style, expertise, and personality traits.
- "Creator" means an individual who registers with PersonaCore to create and monetize an AI Twin.
- "Fan" means an individual who subscribes to interact with AI Twins.
- "Platform" means the PersonaCore website, services, and associated technology.
- "Subscription" means a recurring monthly payment plan for access to chat with an AI Twin.
3. DESCRIPTION OF SERVICES
PersonaCore provides a platform that enables:
- Creators to develop AI personality twins that replicate their communication style and expertise
- Fans to subscribe and interact with AI twins through text-based conversations
- Automated conversation processing using Claude AI (Anthropic)
- Payment processing and subscription management
- Analytics and insights for Creators
4. ELIGIBILITY AND ACCOUNT REGISTRATION
4.1 Age Requirement
You must be at least 18 years old to use PersonaCore. By using our services, you represent and warrant that you are at least 18 years of age.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
5. CREATOR-SPECIFIC TERMS
5.1 Creator Onboarding
To become a Creator, you must:
- Complete our detailed personality questionnaire
- Pay the one-time setup fee of £299 (non-refundable)
- Provide accurate information about your personality and expertise
5.2 Creator Pricing
Flexible Subscription Pricing:
- Price Range: Creators may set their monthly subscription price between £5 and £50
- Default: £5 per month (recommended for new creators)
- Price Setting: Set during onboarding, applies to all fans

5.3 Revenue Sharing - Tiered Commission Model
Tier 1 (0-2,500 Active Subscribers):
- 35% commission / 65% creator payout
- Example: £5/month = £3.25 payout
- Example: £10/month = £6.50 payout
- Example: £20/month = £13.00 payout
- Example: £50/month = £32.50 payout
Tier 2 (2,501+ Subscribers):
- 30% commission / 70% creator payout
- Example: £5/month = £3.50 payout
- Example: £10/month = £7.00 payout
- Example: £20/month = £14.00 payout
- Example: £50/month = £35.00 payout
Tier Evaluation: Last day of each month at 11:59 PM UTC
5.4 Creator Payouts
- Payouts are processed monthly via Stripe Connect
- Creators must complete Stripe verification to receive payments
- Minimum payout threshold: £10.00
- Payouts are subject to applicable taxes and fees
6. FAN-SPECIFIC TERMS
6.1 Subscriptions
- Fans pay the Creator-set monthly subscription price (£5-£50)
- Subscription price is clearly displayed before subscribing
- Subscriptions auto-renew monthly unless cancelled
- Unlimited messaging with the AI Twin
6.2 Fan Conduct
Fans must not:
- Use the Platform to harass, abuse, or threaten others
- Attempt to extract personal information about Creators
- Share or distribute Conversation Data publicly without consent
- Reverse engineer or attempt to recreate AI Twin models
- Use automated tools or bots to interact with AI Twins
7. PAYMENT TERMS
7.1 Payment Processing
All payments are processed securely through Stripe. You must provide valid payment information. Prices are stated in British Pounds (GBP) and include applicable VAT.
7.2 Refund Policy
- Creator Setup Fee: Non-refundable under all circumstances
- Fan Subscriptions: No refunds for partial months
- Subscription cancellations take effect at the end of the current billing period
- Refunds may be issued at PersonaCore's sole discretion for technical failures
8. INTELLECTUAL PROPERTY RIGHTS
8.1 PersonaCore IP
PersonaCore owns all rights to the Platform, including all software, code, technology, branding, and AI training algorithms.
8.2 Creator IP
Creators retain ownership of their original personality traits and biographical information. By using PersonaCore, Creators grant us a worldwide, non-exclusive, sublicensable license to use Creator content for AI Twin operation.
8.3 Conversation Data
Conversation Data is jointly owned by PersonaCore and the participating users. PersonaCore may use Conversation Data to improve AI models but will not sell or publicly share it without consent.
9. AI-SPECIFIC TERMS
9.1 AI Limitations
You acknowledge that:
- AI Twins are machine learning models, not sentient beings
- AI responses may contain inaccuracies or errors
- AI Twins cannot provide professional advice (legal, medical, financial, etc.)
- AI behavior may change as models are updated and improved
9.2 No Guarantees
PersonaCore does not guarantee that:
- AI Twins will perfectly replicate Creator personalities
- AI responses will always be appropriate or accurate
- AI Twins will be available 24/7 without interruption
9.3 AI Safety
PersonaCore implements safety measures including content filtering, conversation monitoring, rate limiting, and regular AI model updates.
10. CONTENT GUIDELINES AND PROHIBITED CONDUCT
10.1 Prohibited Content
Users may not create, share, or request content that:
- Is illegal under UK law or applicable jurisdiction
- Infringes intellectual property rights
- Contains malware or harmful code
- Is sexually explicit involving minors
- Promotes violence, terrorism, or hate speech
- Harasses, bullies, or threatens individuals
- Contains personal information of others without consent
- Promotes fraudulent schemes or scams
11. TERMINATION
11.1 Termination by You
You may delete your account at any time. Fans may cancel subscriptions at any time (access continues until end of billing period).
11.2 Termination by PersonaCore
We may suspend or terminate your account immediately without notice if you:
- Violate these Terms or our Privacy Policy
- Engage in fraudulent or illegal activity
- Abuse or harass other users or staff
- Fail to pay fees owed
11.3 Effect of Termination
Upon termination:
- Your access to the Platform will be immediately revoked
- Creators forfeit any unpaid earnings below the minimum payout threshold
- Fans lose access to all subscriptions (no refunds for partial periods)
12. DISCLAIMERS AND LIMITATIONS OF LIABILITY
12.1 Service "As Is"
PERSONACORE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
12.2 No Professional Advice
AI TWINS DO NOT PROVIDE PROFESSIONAL ADVICE. You should not rely on AI conversations for legal advice, medical diagnosis, financial planning, or mental health counseling.
ALWAYS CONSULT QUALIFIED PROFESSIONALS FOR IMPORTANT DECISIONS.
12.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERSONACORE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO PERSONACORE IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.
12.4 Indemnification
You agree to indemnify, defend, and hold harmless PersonaCore from any claims, damages, losses, and expenses arising from:
- Your violation of these Terms
- Your use or misuse of the Platform
- Content you provide for AI training
- Your interactions with other users
13. DISPUTE RESOLUTION
13.1 Governing Law
These Terms are governed by the laws of England and Wales.
13.2 Jurisdiction
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13.3 Informal Resolution
Before filing any formal dispute, you agree to first contact us at legal@personacore.io to attempt informal resolution.
13.4 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AGREE TO BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
14. PRIVACY AND DATA PROTECTION
Your use of PersonaCore is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using PersonaCore, you consent to:
- Collection and processing of personal data as described in our Privacy Policy
- International data transfers to service providers (including Anthropic and Stripe)
- Use of cookies and similar technologies
- Processing of Conversation Data for AI improvement
15. CHANGES TO THESE TERMS
PersonaCore reserves the right to modify these Terms at any time. Changes become effective 30 days after notice is provided. Your continued use after changes become effective constitutes acceptance.
